1. Your Acceptance

This is an agreement between Alessandro Braccini (with domicile in via Pola, 30 - 01100 Viterbo), the owner and operator of HeyConference service and www.heyconference.com (the "HeyConference Site"), the HeyConference software, including HeyConference App (collectively, including all content provided by HeyConference through HeyConference App and the HeyConference Site, the "HeyConference Service", or the "Service"), and you ("you" or "You"), a user of the Service. BY USING THE SERVICE, YOU ACKNOWLEDGE AND AGREE TO THESE TERMS OF SERVICE, AND HEYCONFERENCE\'S PRIVACY POLICY, WHICH CAN BE FOUND AT http://www.heyconference.com/legal#privacy, AND WHICH ARE INCORPORATED HEREIN BY REFERENCE. If you choose to not agree with any of these terms, you may not use the Service.

1.1 Intellectual Property, Software and Content

The intellectual property rights in all software and content (including photographic images) made available to you on or through this Website remains the property of Alessandro Braccini or its licensors and are protected by copyright laws and treaties around the world. All such rights are reserved by HeyConference. You may store, print and display the content supplied solely for your own personal use. You are not permitted to publish, manipulate, distribute or otherwise reproduce, in any format, any of the content or copies of the content supplied to you or which appears on this Website nor may you use any such content in connection with any business or commercial enterprise.

2. HeyConference Service

These Terms of Service apply to all users of the HeyConference Service. Information provided by our users through the HeyConference Service may contain links to third party websites that are not owned or controlled by Hey Conference. Hey Conference has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third party websites. In addition, Hey Conference will not and cannot censor or edit the content of any third-party site. By using the Service, you expressly acknowledge and agree that Hey Conference shall not be responsible for any damages, claims or other liability arising from or related to your use of any third-party website.

3. HeyConference Access

A. Subject to your compliance with these Terms of Service, Hey Conference hereby grants you permission to use the Service, provided that: (i) your use of the Service as permitted is solely for your personal use, and you are not permitted to resell or charge others for use of or access to the Service, or in any other manner inconsistent with these Terms of Service; (ii) you will not duplicate, transfer, give access to, copy or distribute any part of the Service in any medium without Hey Conference\'s prior written authorization; (iii) you will not attempt to reverse engineer, alter or modify any part of the Service; and (iv) you will otherwise comply with the terms and conditions of these Terms of Service and Privacy Policy.

B. In order to access and use the features of the Service, you acknowledge and agree that you will have to provide Hey Conference with your mobile phone number, your email for registration and any data required to use the Service. You expressly acknowledge and agree that in order to provide the Service, Hey Conference may periodically access your contact list and/or address book on your mobile device to find and keep track of mobile phone numbers of other users of the Service (for what configured in your device and for the all the limitations of its settings). When providing your mobile phone number and/or email, you must provide accurate and complete information. You hereby give your express consent to Hey Conference to access your contact list and/or address book for mobile phone numbers in order to provide and use the Service. You are solely responsible for the status messages and the information that you submit for the Conference/Event and that are displayed for your mobile phone number/email on the HeyConference Service. You must notify Hey Conference immediately of any breach of security or unauthorized use of your mobile phone and email. Although Hey Conference will not be liable for your losses caused by any unauthorized use of your account, you may be liable for the losses of HeyConference or others due to such unauthorized use.

C. You agree not to use or launch any automated system, including without limitation, "robots," "spiders," "offline readers," etc. or "load testers" such as wget, apache bench, mswebstress, httpload, blitz, Xcode Automator, Android Monkey, etc., that accesses the Service in a manner that sends more request messages to the HeyConference servers in a given period of time than a human can reasonably produce in the same period by using a HeyConference application, and you are forbidden from ripping the content unless specifically allowed. Notwithstanding the foregoing, Hey Conference grants the operators of public search engines permission to use spiders to copy materials from the website for the sole purpose of creating publicly available searchable indices of the materials, but not caches or archives of such materials. Hey Conference reserves the right to revoke these exceptions either generally or in specific cases. While we don\'t disallow the use of sniffers such as Ethereal, tcpdump or HTTPWatch in general, we do disallow any efforts to reverse-engineer our system, our protocols, or explore outside the boundaries of the normal requests made by HeyConference clients. We have to disallow using request modification tools such as fiddler or whisker, or the like or any other such tools activities that are meant to explore or harm, penetrate or test the site. You must secure our permission before you measure, test, health check or otherwise monitor any network equipment, servers or assets hosted on our domain. You agree not to collect or harvest any personally identifiable information, including phone number, from the Service, nor to use the communication systems provided by the Service for any commercial solicitation or spam purposes. You agree not to spam, or solicit for commercial purposes, any users of the Service.

4. Intellectual Property Rights

The design of the HeyConference Service along with HeyConference created text, scripts, graphics, interactive features and the like, except Status Submissions and Conferece/Event information submission (as defined below), and the trademarks, service marks and logos contained therein ("Marks"), are owned by or licensed to Hey Conference, subject to copyright and other intellectual property rights under Europe and foreign laws and international conventions. The Service is provided to you AS IS for your information and personal use only. Hey Conference reserves all rights not expressly granted in and to the Service. You agree to not engage in the use, copying, or distribution of any of the Service other than expressly permitted herein, including any use, copying, or distribution of Status Submissions of third parties obtained through the Service for any commercial purposes.

5. User Status Submissions and Conference/Event information submission

A. The HeyConference Service allows HeyConference users to submit status text, Conference/Event related information, profile photos and other communications submitted by you, as well as the automatic submission of your "last seen" status (collectively, the "Status Submissions"). These Submissions may be hosted, shared, and/or published as part of the HeyConference Service, and may be visible to other users of the Service who have your mobile phone number in their mobile phone and which you have not expressly blocked and/or participanting in the same Event/Conference as you. For clarity, direct messages, location data and photos or files that you send directly to other HeyConference users will only be viewable by those HeyConference user(s) or group(s) you directly send such information; but Status Submissions and Conference/Event related information submission may be globally viewed by HeyConference users that have your mobile phone number on their smartphone or have registered in the same Event/Conference or are in your list of Favourite Contacts. A good rule of thumb is if you don\'t want the whole world to know something or see something, don\'t submit it as a Status Submission to the Service. The submission of your \'last seen\' status is done on an automatic basis. As clarified in the following section, you retain your ownership rights in your Status Submissions. You understand that whether or not such Status Submissions are published, Hey Conference does not guarantee any confidentiality with respect to any submissions.

B. You shall be solely responsible for your own Status and Conference/Event Information Submissions and the consequences of posting or publishing them. Because HeyConference is only acting as a repository of data, user submitted statuses do not necessarily represent the views or opinions of HeyConference, and HeyConference makes no guarantees as to the validity, accuracy or legal status of any status. In connection with Status Submissions, you affirm, represent, and/or warrant that: (i) you own or have the necessary licenses, rights, consents, and permissions to use and authorize Hey Conference to use all patent, trademark, trade secret, copyright or other proprietary rights in and to any and all Status/Conference/Event data Submissions to enable inclusion and use of the Status/Conference/Event data Submissions in the manner contemplated by the Service and these Terms of Service; and (ii) you have the written consent, release, and/or permission of each and every identifiable individual person in the Status/Conference/Event data Submission to use the name or likeness of each and every such identifiable individual person to enable inclusion and use of the Status/Conference/Event data Submissions in the manner contemplated by the Service and these Terms of Service. To be clear: you retain all of your ownership rights in your Status/Conference/Event data Submissions, but you have to have the rights in the first place. However, by submitting the Status Submissions or Conference/Event status information to HeyConference, you hereby grant HeyConference a worldwide, non-exclusive, royalty-free, sublicenseable and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the Status Submissions and Conference/Event information submission in connection with the HeyConference Service and Hey Conference\'s (and its successor\'s) business, including without limitation for promoting and redistributing part or all of the HeyConference Service (and derivative works thereof) in any media formats and through any media channels. You also hereby grant each subscriber to your status and Conference/Event information on the HeyConference Service a non-exclusive license to access your Status/Conference/Event data Submissions through the Service. The foregoing license granted by you terminates once you remove or delete a Status Submission and Conference/Event information from the HeyConference Service.

C. In connection with Status Submissions and Conference/Event information, you further agree that you will not: (i) submit material that is copyrighted, protected by trade secret or otherwise subject to third party proprietary rights, including privacy and publicity rights, unless you are the owner of such rights or have permission from their rightful owner to post the material and to grant Hey Conference all of the license rights granted herein; (ii) publish falsehoods or misrepresentations that could damage Hey Conference or any third party; (iii) submit material that is unlawful, obscene, defamatory, libelous, threatening, harassing, hateful, racially or ethnically offensive, or encourages conduct that would be considered a criminal offense, give rise to civil liability, violate any law, or is otherwise inappropriate; (iv) post advertisements or solicitations of business; (v) impersonate another person; (vi) send or store material containing software viruses, worms, Trojan horses or other harmful computer code, files, scripts, agents or programs; (vii) interfere with or disrupt the integrity or performance of the Service or the data contained therein; or (viii) attempt to gain unauthorized access to the Service or its related systems or networks.

D. Adult content must be identified as such. Hey Conference does not endorse any Status Submission or Event/Conference information submission or any opinion, recommendation, or advice expressed therein, and Hey Conference expressly disclaims any and all liability in connection with Status Submissions and Conference/Event information submission. Hey Conference does not permit copyright infringing activities and infringement of intellectual property rights via its Service, and Hey Conference will remove all content and Status Submissions and Conference/Event information submission if properly notified that such content or Status Submission or Conference/Event information submission infringes on another\'s intellectual property rights. Hey Conference reserves the right to remove content and Status Submissions and Conference/Event information submission without prior notice. Hey Conference may also terminate a user\'s access to the Service, if they are determined to be a repeat infringer, or for any or no reason, including being annoying. A repeat infringer is a User who has been notified of infringing activity more than once and/or has had a Status Submission and Conference/Event information submission removed from the Service more than twice. An annoying person is anyone who is (capriciously or not) determined to be annoying by authorized Hey Conference employees, agents, subagents, superagents or superheros. Hey Conference also reserves the right to decide whether content or a Status Submission and Conference/Event information submission is appropriate and complies with these Terms of Service for violations other than copyright infringement and violations of intellectual property law, such as, but not limited to excessive length or limited interest. Hey Conference may remove such Status Submissions and/or terminate a User\'s access for uploading such material in violation of these Terms of Service at any time, without prior notice and at its sole discretion.

E. You understand that when using the HeyConference Service you will be exposed to Status Submissions and Conference/Event information submission from a variety of sources, and that Hey Conference is not responsible for the accuracy, usefulness, safety, or intellectual property rights of or relating to such Status Submissions and Conference/Event information submission, and that such Status Submissions and Conference/Event information submission are not the responsibility of Hey Conference. You further understand and acknowledge that you may be exposed to Status Submissions and Conference/Event information submission that are inaccurate, offensive, indecent, or objectionable, and you agree to waive, and hereby do waive, any legal or equitable rights or remedies you have or may have against Hey Conference with respect thereto, and agree to indemnify and hold Hey Conference, its officers, directors, employees, agents, affiliates, and/or licensors, harmless to the fullest extent allowed by law regarding all matters related to your use of the HeyConference Service.

F. Hey Conference permits you to link to materials on the Service for personal purposes only. Hey Conference reserves the right to discontinue any aspect of the HeyConference Service at any time.

6. Warranty Disclaimer

YOU AGREE THAT YOUR USE OF THE HEYCONFERENCE SERVICE SHALL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, Hey CONFERENCE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICE AND YOUR USE THEREOF. Hey CONFERENCE MAKES NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THIS SERVICE\'S CONTENT AND ASSUMES NO LIABILITY OR RESPONSIBILITY FOR ANY (I) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT, (II) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND USE OF OUR SERVICE, (III) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION AND/OR FINANCIAL INFORMATION STORED THEREIN, (IV) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM OUR SERVICE, (IV) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE WHICH MAY BE TRANSMITTED TO OR THROUGH OUR SERVICE THROUGH THE ACTIONS OF ANY THIRD PARTY, AND/OR (V) ANY ERRORS OR OMISSIONSIN ANY CONTENT OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF ANY CONTENT POSTED, EMAILED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE HEYCONFERENCE SERVICE. Hey CONFERENCE DOES NOT WARRANT, ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY PRODUCT OR SERVICE ADVERTISED OR OFFERED BY A THIRD PARTY THROUGH THE HEYCONFERENCE SERVICE OR ANY HYPERLINKED WEBSITE OR FEATURED IN ANY USER STATUS SUBMISSION OR OTHER ADVERTISING, AND Hey CONFERENCE WILL NOT BE A PARTY TO OR IN ANY WAY BE RESPONSIBLE FOR MONITORING ANY TRANSACTION BETWEEN YOU AND THIRD-PARTY PROVIDERS OF PRODUCTS OR SERVICES. AS WITH THE PURCHASE OF A PRODUCT OR SERVICE THROUGH ANY MEDIUM OR IN ANY ENVIRONMENT, YOU SHOULD USE YOUR BEST JUDGMENT AND EXERCISE CAUTION WHERE APPROPRIATE. AND AGAIN, USE THIS JUST FOR FUN.

7. Limitation of Liability

IN NO EVENT SHALL Hey CONFERENCE, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS, BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES WHATSOEVER RESULTING FROM ANY (I) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT, (II) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND USE OF OUR SERVICE, (III) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION AND/OR FINANCIAL INFORMATION STORED THEREIN, (IV) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM OUR SERVERS, (IV) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE, WHICH MAY BE TRANSMITTED TO OR THROUGH OUR SERVICE BY ANY THIRD PARTY, (V) ANY ERRORS OR OMISSIONS IN ANY CONTENT OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF YOUR USE OF ANY CONTENT POSTED, EMAILED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE HEYCONFERENCE CLIENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT THE COMPANY IS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND/OR (VI) THE DISCLOSURE OF INFORMATION PURSUANT TO THESE TERMS OF SERVICE OR PRIVACY POLICY. THE FOREGOING LIMITATION OF LIABILITY SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW IN THE APPLICABLE JURISDICTION.

YOU SPECIFICALLY ACKNOWLEDGE THAT Hey CONFERENCE SHALL NOT BE LIABLE FOR USER SUBMISSIONS OR THE DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF ANY THIRD PARTY AND THAT THE RISK OF HARM OR DAMAGE FROM THE FOREGOING RESTS ENTIRELY WITH YOU.

The Service is controlled and offered by Hey Conference from its facilities in Europe. Hey Conference makes no representations that the HeyConference Service is appropriate or available for use in other locations. Those who access or use the HeyConference Service from other jurisdictions do so at their own volition and are responsible for compliance with local law.

8. Indemnity

You agree to defend, indemnify and hold harmless Hey Conference, its parent corporation, officers, directors, employees and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney\'s fees) arising from: (i) your use of and access to the HeyConference Service; (ii) your violation of any term of these Terms of Service; (iii) your violation of any third party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that one of your Status Submissions and Conference/Event information submission caused damage to a third party. This defense and indemnification obligation will survive these Terms of Service and your use of the HeyConference Service. We don\'t support or encourage illegal consumption of alcohol or tobacco, so there.

9. Ability to Accept Terms of Service

You affirm that you are either more than 16 years of age, or an emancipated minor, or possess legal parental or guardian consent, and are fully able and competent to enter into the terms, conditions, obligations, affirmations, representations, and warranties set forth in these Terms of Service, and to abide by and comply with these Terms of Service. In any case, you affirm that you are at least 16 years old as the HeyConference Service is not intended for children under 16. If you are under 16 years of age, you are not permitted to use the HeyConference Service. 10. Assignment

These Terms of Service, and any rights and licenses granted hereunder, may not be transferred or assigned by you, but may be assigned by Hey Conference without restriction.

11. General

You agree that: (i) the HeyConference Service shall be deemed solely based in Europe; (ii) the HeyConference Service shall be deemed a passive server that does not give rise to personal jurisdiction over Hey Conference, either specific or general, in jurisdictions other than Italy/Europe; and (iii) that you agree to subject to the jurisdiction of Europe/Italy in the event of any legal dispute. These Terms of Service shall be governed by the internal substantive laws of Italy/Europe, without respect to its conflict of laws principles. Any claim or dispute between you and Hey Conference that arises in whole or in part from the HeyConference Service shall be decided exclusively by a court of competent jurisdiction located Italy. These Terms of Service, together with the Privacy Policy at http://www.heyconference.com/legal#privacy and any other legal notices published by Hey Conference, including, but not limited to an end user license agreement, shall constitute the entire agreement between you and Hey Conference concerning the HeyConference Service. If any provision of these Terms of Service is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms of Service, which shall remain in full force and effect. No waiver of any term of this these Terms of Service shall be deemed a further or continuing waiver of such term or any other term, and Hey Conference\'s failure to assert any right or provision under these Terms of Service shall not constitute a waiver of such right or provision. Hey Conference reserves the right to amend or modify these Terms of Service at any time, and it is your responsibility to review these Terms of Service for any changes. If you do not agree to the revised Terms, your only recourse is to discontinue the use of the HeyConference Service. Your continued use of the HeyConference Service following any amendment of these Terms of Service will signify your assent to and acceptance of its revised terms. YOU AND Hey CONFERENCE AGREE THAT ANY CAUSE OF ACTION ARISING OUT OF OR RELATED TO THE HEYCONFERENCE SERVICE MUST COMMENCE WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES. OTHERWISE, SUCH CAUSE OF ACTION IS PERMANENTLY BARRED.

Termination
You may terminate the Terms at any time by closing your account, discontinuing your use of this Site and providing Us with a notice of termination. We reserve the right, without notice and in our sole discretion, to terminate your right to use our services, or any portion of this Site/Application, and to block or prevent your future access to and use of this Site/Application or any portion of this Site/Application.

Hey Conference provides this Privacy Policy to help you make an informed decision about whether to use or continue using the HeyConference Site, HeyConference Software and/or the HeyConference App Service. If you do not agree to our practices, please do not use the HeyConference Site, HeyConference Software, or HeyConference App Service.

This Privacy Policy is incorporated into and is subject to the HeyConference Terms of Service. Your use of the HeyConference Site, HeyConference Software and the HeyConference App Service and any personal information you provide on the HeyConference Site or HeyConference Service remains subject to the terms of this Privacy Policy and our Terms of Service.

Please note that any Status Submissions and/or other content and/or Event/Conference Information submission posted at the direction or discretion of users of the HeyConference Service becomes published content and is not considered personally identifiable information subject to this Privacy Policy.

What Does This Privacy Policy Cover?
This Privacy Policy is part of HeyConference\'s Terms of Service and covers the treatment of user information, including personally identifying information, obtained by HeyConference, including information obtained when you access the HeyConference\'s Site, use the HeyConference Service or any other software provided by Hey Conference.

This Privacy Policy does not apply to the practices of companies that Hey Conference does not own or control, or to individuals whom Hey Conference does not employ or manage, including any of the third parties to which Hey Conference may disclose user information as set forth in this Privacy Policy.

The Information HeyConference Collects
Hey Conference may obtain the following types of information from or concerning you or your mobile phone device, which may include information that can be used to identify you as specified below ("Personally Identifying Information"):

User Provided Information: You provide certain Personally Identifiable Information, such as your mobile phone number, email, address, city, gender, social network links, push notification name (if applicable), billing information (if applicable) and mobile device information to Hey Conference when choosing to participate in various uses of the HeyConference Service, such as registering as a user, updating your status or update Conference/Event information. In order to provide the HeyConference Service, Hey Conference can periodically access your address book or contact list on your mobile phone (if allowed by the device) to locate the mobile phone numbers of other HeyConference users ("in-network" numbers), or otherwise categorize other mobile phone numbers as "out-network" numbers, which are stored as one-way irreversibly hashed values.

Log File Information: When you use the HeyConference Site, Software and App, our servers automatically record certain information that your web browser and Mobile App sends whenever you visit any website and access specific App functions. These server logs may include information such as your web request, Internet Protocol ("IP") address, browser type, browser language, referring / exit pages and URLs, platform type, number of clicks, domain names, landing pages, pages viewed and the order of those pages, the amount of time spent on particular pages, the date and time of your request, one or more cookies that may uniquely identify your browser, your phone number, phone number you are requesting the status of and various status information, your email when requested, specific functions accessed and Conference/Event contents visited. When you use the HeyConference Service, our servers log certain general information that our application sends whenever a message is sent or received or a specific function or App page is accessed, or if you update or request any status information, including time and date stamps and the mobile phone numbers/mobile uid the messages were sent from and to. Log File Information are anonymously elaborated by Hey Conference for statistic use and as feedback for Hey Conference and the Event/Conference Organizers upon request.

The Way Hey Conference Uses Information
If you submit Personally Identifiable Information to us through the HeyConference Site, or HeyConference Service, then we use your personal information to operate, maintain, and provide to you the features and functionality of the HeyConference Site and HeyConference App Service. In particular, your mobile phone and email number are essential to your use of the Hey Conference Service and will be retained. Any billing information that may be collected from you will be deleted after the termination of your account with HeyConference. Any Personally Identifiable Information or status content that you voluntarily disclose on the HeyConference Service becomes publicly available and may be collected and used by other users of the HeyConference Service (unless such user is blocked by you). Your name (as it is saved in other user\'s mobile phone address book or contact list) may be displayed to other users when you update your status messages through the HeyConference Service and other users may contact you through the HeyConference Service. Information and data collected are only visible to the network of the participated event, and under the control and decision of event organizer, the collected analytics information and participant event information can be accessed by conference organizer (and any person to whom delegated) only.

Organization

Service Agreement

This agreement is made between Alessandro Braccini as the "Service Provider" (with domicile in via Pola, 30 - 01100 Viterbo, the owner and operator of HeyConference service / platform / website and application) and the current user (and his organization) currently registered to heyconference website as the "Buyer", collectively referred to as the "Parties".

The Buyer wishes to be provided with the Services (defined below) by the Service Provider and the Service Provider agrees to provide the Services to the Buyer on the terms and conditions of this Agreement.

Services

The Service Provider shall provide the following services ("Services") to the Buyer in accordance with the terms and conditions of this Agreement (were applicable to selected product in heyconference platform):
- Access for Event data pubblication in the HeyConference App (published for iOS and Android platforms);
- Access to information about voting during the conference (for papers and workshop);
- Report on event tracked by the App (on participant and agenda item interaction) and rating results on best paper and session;
- Organizer email contact (inserted in the system) to approve HeyConference user registration to the Event and data access on the HeyConference App;
- List of accounts registered to the Event.

Upon specific request under (and depending on) dedicated service purchase:
- Pubblication of data for the Event in the HeyConference App (publisehd for iOS and Android platforms) by the HeyConference team: Conference General Information, Sponsor if available, Agenda and voting option for research papers (based on the material uploaded by the Buyer);
- Syncronization with organizer for the communication to be sent to sponsors and participants;
- Regular updates to the agenda and general information (at least launch, once the week before, once more the day before the event;

- Dedicated packet for Sponsor App publication

General Terms

Intellectual Property Rights

The Service Provider agrees to grant to the Buyer a non-exclusive, irrevocable, royalty free licence to use any elements of the Material not specifically created for the Buyer as part of the Services. In respect of the Material specifically created for the Buyer as part of the Services, the Service Provider assigns the full title guarantee to the Buyer and any all of the copyright, other intellectual property rights and any other data or material used or subsisting in the Material whether finished or unfinished. If any third party intellectual property rights are used in the Material the Service Provider shall ensure that it has secured all necessary consents and approvals to use such third party intellectual property rights for the Service Provider and the Buyer. For the purposes of this Clause, "Material" shall mean the materials, in whatever form, used by the Service Provider to provide the Services and the products, systems, programs or processes, in whatever form, produced by the Service Provider pursuant to this Agreement.

Content and publication

The Service provider can at any time unpulish the material from the HeyConference app for any reason concerning: the violation of the undersigned agreement, the violation of undersigned HeyConference Policy and Privacy terms, any HeyConference product or service or thirdy party copyright violation, offensive or unappropriate material, any other reason considered reasonable from the Service Provider.
The Service provider can refuse the service for pubblication of the material should the date of the Conference considered too close to provide an acceptable and on time service with the material provided from the Buyer: if the delay is the date of the event is less than two weeks, the service provider can discretionally refuse the service.
The full amount paid for the service will be reimboursed to the Buyer.

This includes also the possibility from HeyConference to block or terminate user account with cancellation of all related published material.

The Service Provider reserve is option to approve material published by the Buyer, if considered necessary.

Warranty

The Service Provider represents and warrants that:
it will perform the Services with reasonable care and skill; and
the Services and the Materials provided by the Service Provider to the Buyer under this Agreement will not infringe or violate any intellectual property rights or other right of any third party.

Limitation of liability

Subject to the Buyer's obligation to pay the Price to the Service Provider (when applicable), either party's liability in contract, tort or otherwise (including negligence) arising directly out of or in connection with this Agreement or the performance or observance of its obligations under this Agreement and every applicable part of it shall be limited in aggregate to the Price (where applicable).
To the extent it is lawful to exclude the following heads of loss and subject to the Buyer's obligation to pay the Price (where applicable), in no event shall either party be liable for any loss of profits, goodwill, loss of business, loss of data or any other indirect or consequential loss or damage whatsoever.
Nothing in this Clause will serve to limit or exclude either Party's liability for death or personal injury arising from its own negligence.

Term and Termination

This Agreement shall be effective on the date hereof and shall continue, unless terminated sooner in accordance with this clause
Either Party may terminate this Agreement upon notice in writing if
the other is in breach of any material obligation contained in this Agreement, which is not remedied (if the same is capable of being remedied) within 30 days of written notice from the other Party so to do; or
a voluntary arrangement is approved, a bankruptcy or an administration order is made or a receiver or administrative receiver is appointed over any of the other Party's assets or an undertaking or a resolution or petition to wind up the other Party is passed or presented (other than for the purposes of amalgamation or reconstruction) or any analogous procedure in the country of incorporation of either party or if any circumstances arise which entitle the Court or a creditor to appoint a receiver, administrative receiver or administrator or to present a winding-up petition or make a winding-up order in respect of the other Party.

If the Buyer is a consumer and the Distance Selling Directive (97/7/EC) (the "Directive") applies to this Agreement, the Buyer may terminate this Agreement within the relevant timescales prescribed by the regulations or laws in the relevant Member State which implement the requirements of the Directive in respect of a right for the Buyer to withdraw from a contract. In the event of termination in accordance with this Clause, the liability of the Buyer to the Service Provider shall be as prescribed in the Directive or in any regulations or laws implementing its requirements in the relevant Member States.

Any termination of this Agreement (howsoever occasioned) shall not affect any accrued rights or liabilities of either Party nor shall it affect the coming into force or the continuance in force of any provision hereof which is expressly or by implication intended to come into or continue in force on or after such termination.

Relationship of the Parties

The Parties acknowledge and agree that the Services performed by the Service Provider, its employees, agents or sub-contractors shall be as an independent contractor and that nothing in this Agreement shall be deemed to constitute a partnership, joint venture, agency relationship or otherwise between the parties.

Confidentiality

Neither Party will use, copy, adapt, alter or part with possession of any information of the other which is disclosed or otherwise comes into its possession under or in relation to this Agreement and which is of a confidential nature. This obligation will not apply to information which the recipient can prove was in its possession at the date it was received or obtained or which the recipient obtains from some other person with good legal title to it or which is in or comes into the public domain otherwise than through the default or negligence of the recipient or which is independently developed by or for the recipient.

Notices

Any notice which may be given by a Party under this Agreement shall be deemed to have been duly delivered if delivered by hand, first class post, facsimile transmission or electronic mail to the address of the other Party as specified in this Agreement or any other address notified in writing to the other Party. Subject to any applicable local law provisions to the contrary, any such communication shall be deemed to have been made to the other Party, if delivered by:
first class post, 2 days from the date of posting;
hand or by facsimile transmission, on the date of such delivery or transmission; and
electronic mail, when the Party sending such communication receives confirmation of such delivery by electronic mail.

Miscellaneous

The failure of either party to enforce its rights under this Agreement at any time for any period shall not be construed as a waiver of such rights.
If any part, term or provision of this Agreement is held to be illegal or unenforceable neither the validity or enforceability of the remainder of this Agreement shall be affected.
Neither Party shall assign or transfer all or any part of its rights under this Agreement without the consent of the other Party.
This Agreement may not be amended for any other reason without the prior written agreement of both Parties.
This Agreement constitutes the entire understanding between the Parties relating to the subject matter hereof unless any representation or warranty made about this Agreement was made fraudulently and, save as may be expressly referred to or referenced herein, supersedes all prior representations, writings, negotiations or understandings with respect hereto.
Neither Party shall be liable for failure to perform or delay in performing any obligation under this Agreement if the failure or delay is caused by any circumstances beyond its reasonable control, including but not limited to acts of god, war, civil commotion or industrial dispute. If such delay or failure continues for at least 7 days, the Party not affected by such delay or failure shall be entitled to terminate this Agreement by notice in writing to the other.
This Clause and Clauses "Relationship of the Parties", "Confidentiality", "Notices" and "Miscellaneous" of this Agreement shall survive any termination or expiration.
This Agreement shall be governed by the laws of the jurisdiction in which the Buyer is located (or if the Buyer is based in more than one country, the country in which its headquarters are located) (the "Territory") and the parties agree to submit disputes arising out of or in connection with this Agreement to the non-exclusive of the courts in the Territory.
